EMPLOYMENT AGENCY AGREEMENT  

Ruckus Network (the “Company”) requires all employment agencies to execute this agreement to establish and maintain a clear business relationship to avoid potential conflicts.  Please note:  No employment agency will be entitled to any placement fee with respect to ANY referral made by the agency unless this agreement is first executed by the placement agency and an authorized representative of the Company.  There will be no exceptions.

This agreement supersedes all previous agreements both oral and/or written.

1.      All contact information is to flow through the Human Resources Department.  A Referral of a candidate may generate a placement fee only after Human Resources initiates a request for contact information.  Telephone conversations with hiring managers do not constitute a referral.

2.      All Resumes must be sent to the Human Resources Department.  Any resumes sent to the hiring managers will not entitle the agency to any placement fee if the person who is subject of the resume is hired with out the prior knowledge and approval of the Human Resources Department.

3.      Sending an unsolicited resume to the Company will not entitle an agency to a Fee on a candidate if the candidate is hired.

4.      The agency will provide qualified candidates for requested positions on a contingency basis only.  Placement fees will be earned only at a time when a candidate is selected and subsequently employed by the Company as a full time permanent employee

5.      In the case where the same resume is submitted by different agencies, a placement fee will be paid to the FIRST agency that identified the candidate, as indicated on the date stamp on the faxed document, or the email stamp on the received memo.

6.      The agency signing this agreement agrees not to solicit or recruit any Company employees until twelve months after the termination of the agreement.  Any violation of these provisions during the term of the agreement will result in the immediate termination of this agreement.  In any event, the agency will be liable to pay the Company a fee equal to twenty percent (20%) of the person’s then annual base salary, in the case of any violation of this paragraph.

7.      An agency will only be eligible to earn a placement fee with respect to a candidate referred by the agency if the Company employs the candidate within six months of the date that a resume on that candidate is received by the Company.  After this six-month period has elapsed, the agency will not be entitled to any fee if the Company employs the candidate.

8.      The agency will not submit any candidate that has directly applied to the Company with in the past 6 months.  The agency will make aware Human Resources of any submitted candidate that has previously submitted applied directly to the Company in the past 12 months.

9.      The agency will earn a 10% fee based on the candidate’s starting basic base salary, exclusive of bonuses, incentives, commissions, etc.

10.  The agency will submit an invoice to Human Resources 12901 Worldgate Drive, 7th Floor, Herndon, Va 20170 within 10 days of the candidates start date.  100% of the fee will be paid within 30 days of the date we received the invoice.

11.  The agency will provide an unconditional guarantee that the candidate will remain employed for at least ninety (90) days.  If the candidate’s employment terminates for any reason whatsoever on or before ninety days from the date of hire, then the agency will not have earned any fee.  This means that any fee paid by the Company will be refunded and no further fee will be due.  At its discretion, the Company may request the agency to find a replacement candidate.

12.  This agreement will be nonexclusive.  This means that the Company may work with other agencies and the agency may work with other companies.  Either the agency or the Company may terminate this agreement at any time for any reason by delivering a written notice of termination to the other party.

13.  It is the policy of the Company to consider all qualified applicants for available positions without regard to race, color, religion, marital status, medical condition, national origin, sex, sexual orientation, age, disability, or veteran status.  The Company is fully committed to supporting Equal Opportunity Programs for minority group’s members, females, disabled veterans, non-veterans, and veterans of Vietnam Era.

14.  Any dispute between the parties arising under the agreement will be governed by ___________ law and may be resolved through final and binding arbitration to be held in __________________, conducted pursuant to the rules of the American Arbitration Association. 

15.     This is the full and complete agreement between the Agency and the Company.  This agreement can only be modified in a written agreement signed by a representative of the agency and an authorized representative of the Company.
